Terms of Trade

1. Introduction


1.1 This agreement constitutes the terms under which AMS Prograb provides services and products to its customers.
1.2 By engaging AMS Prograb's services, customers automatically agree to and are bound by these terms.


2. Definitions


2.1 Key Terminology:

 AMS Prograb: The entity offering specialized crane services and logistical solutions.

Customer: The party engaging with AMS Prograb for services and products.

Services/Products: Encompasses the full range of offerings provided by AMS Prograb.


3. Scope of Services


3.1 AMS Prograb specializes in a comprehensive array of services, including crane operations, tree and vegetation management, demolition, site clearing, and logistics solutions tailored to meet various client needs.
3.2 Services rendered are bound by the specific terms outlined in agreed-upon contracts, quotations, or purchase orders.


4. Pricing and Payment


4.1 The pricing for services or products is determined based on the scope of work and detailed in formal quotations or contracts.
4.2 Invoices are issued and payable within 30 days of the invoice date. Late payments may incur penalties or interest charges.


5. Orders, Deliveries, and Acceptance


5.1 Orders are formally initiated through signed contracts or formal agreements between AMS Prograb and the customer.
5.2 AMS Prograb ensures the timely and safe completion of services as agreed upon in the contract or quotation.
5.3 The customer acknowledges receipt and acceptance of completed services/products upon delivery or as specified in the contract.


6. Cancellation, Refunds, and Alterations


6.1 Cancellation requests must be submitted within 48 hours of order placement or as stipulated in the contract.
6.2 Refunds are applicable for services/products not rendered or delivered as agreed upon.
6.3 Any modifications to agreed-upon services/products require mutual agreement and may result in adjustments to pricing or timelines.


7. Quality Assurance and Complaints


7.1 Services/products adhere to industry best practices, safety standards, and specifications as agreed upon in the contract.
7.2 Customers are encouraged to report any dissatisfaction within seven days of service/product completion for resolution by AMS Prograb.


8. Liability, Indemnification, and Insurance


8.1 AMS Prograb is not liable for damages caused by external factors beyond its control or by customer negligence.
8.2 Customers agree to indemnify AMS Prograb against liabilities arising from their negligence or non-compliance with terms.
8.3 AMS Prograb maintains relevant insurance coverage for its services as required by New Zealand law.


9. Termination of Services


9.1 Either party may terminate services upon written notice, subject to terms outlined in the contract or agreement.
9.2 Termination may incur penalties, obligations, or rights as specified in the contract or by New Zealand law.


10. Governing Law and Jurisdiction


10.1 These terms are governed by and construed in accordance with the laws of New Zealand.
10.2 Any disputes arising from this agreement are subject to the exclusive jurisdiction of the courts of New Zealand.


11. Miscellaneous Terms


11.1 If any part of these terms is found unenforceable, the remainder remains valid and in effect.
11.2 AMS Prograb reserves the right to modify these terms with reasonable notice and customer acknowledgment.


12. Acceptance and Contact Information


12.1 By engaging AMS Prograb's services, customers acknowledge their understanding and agreement with these terms.
